The Corporate & Contracts Specialist provides critical corporate, equity management, commercial and contracts support within Colossal’s internal Legal team to help manage critical corporate and capital stock governance, contracts, legal data and operations management in support of achieving the company’s and Legal Department’s goals. This legal professional, who should have relevant experience as a corporate paralegal, contracts’ specialist or a corporate/contracts attorney, works collaboratively within the legal team and various departments across Colossal to take on corporate, commercial and contractual matters and help manage the department’s corporate and legal documents, agreements, templates, within the Legal Department’s current and future document, equity management software and contract lifecycle management (CLM) tools. This person should be capable of taking on and learning all aspects of complex corporate, corporate governance, equity management, commercial and contractual matters related to a fast-growing, unique privately-held business operating at high-growth pace. This position reports to the General Counsel, and will not only support, train and collaborate with Legal team members, but also autonomously support Colossal, and its affiliates’, functional leaders.

**This position is based on-site in Dallas, TX and relocation assistance is available. To the extent remote work is considered, preference may be given to Texas residents with the ability to travel to Dallas headquarters frequently.

Duties and Responsibilities:

  • Develop needed processes, procedures, policies and training for Legal Department’s management of legal matter intake and contracts lifecycle management.
  • Drive tracking, metrics, understanding and accountability for corporate and contractual matters, including as examples, corporate minute books and records, stock and option grants, advisory services agreements, equity management (i.e., CARTA) and CLM systems, virtual data rooms, contract processing, signature and retention, and matter intake and deadlines.
  • Drafting, analyzing and negotiating any manner of agreements, including but not limited to: NDAs, offer letters, procurement orders and SOWs, service contracts, consulting agreements, leases, and commercial agreements.
  • Provide contractual legal support to all departments in the company, including providing technical and legal guidance or assistance, obtaining relevant information to complete contracts, managing correspondence to internal and external stakeholders, and delivering on execution and retention of contracts.
  • Review contract terms and conditions to verify that they are in compliance with company policies, contract playbooks and all applicable laws.
  • Draft and manage legal forms, templates, contract playbooks and executed contracts within the company’s data management systems (e.g., Google, Dropbox) and its contract management software (e.g., MS Word, Adobe, Docusign, CLM, etc.).
  • Understand and support corporate legal governance, with a particular emphasis on preparation of board and stockholder documentation, stock and securities issuances, option plan grants, securities transfers, and supporting legal, finance and personnel functions, including managing equity management processes and systems (i.e., CARTA) and being able to report on this.
  • Organize and develop processes for the company’s contract repository and existing contracts within internal and external facing virtual document retention systems.
  • Apply legal-training or background to address pressing legal and contractual issues by conducting legal/regulatory research using both legal and non-legal applicable resources, and demonstrate ability to take on and learn new areas of the law.
  • Ability to represent the Legal Department in a professional, positive, and responsive manner in a remote setting, with ability to travel to team meetings in Dallas, Texas.

Required Skills and Abilities:

  • Experience organizing, administering and negotiating contracts & managing customary corporate minute books and stock transactions.
  • Experience reviewing, applying, and analyzing policies, and regulations.
  • Prior experience in a biotechnology, medical or health technology company is a plus.
  • Proficient with various software applications such as Microsoft Office Suite (e.g., Word, Excel, Powerpoint) and/or Google Suite, Docusign, Adobe Pro, Legal CLM software and equity management software (e.g., CARTA).
  • Ability to manage documents in data rooms (e.g., Dropbox, Google, Box).
  • Exposure to certain regulatory regimes, e.g., FDA, Customs, Data Privacy, EPA, etc. is a plus.
  • Experience in business and legal processes, procedures and operations development
  • Excellent verbal and written communication skills.
  • Exceptional organizational skills and attention to detail.
  • Strong emotional intelligence and passion for building relationships across all levels of an organization.
  • Strong analytical, problem-solving and project management skills.
  • Ability to function well in a growth-oriented, nimble environment.

Education and Experience:

  • Minimum of Bachelor's degree and legal certification (paralegal certificate or JD).
  • At least 5 years of either law firm or corporate in-house experience is strongly preferred, with demonstrable corporate governance and contracts administration experience.
  • Prior experience with CARTA equity management and CLM software is preferred.
  • Minimum of two legal supervisor references.
